Terms of service

These terms are an agreement between you and Nathan Mabasa, who runs LedgerMate, for using it. By creating an account or continuing to use LedgerMate you agree to them. Please read sections 5, 9 and 10 carefully: they limit our responsibility and make you responsible for how you use LedgerMate.

1. Who can use LedgerMate

You must be 18 or older and, if you sign up for a business, have authority to accept these terms on its behalf. LedgerMate is meant for business records, not personal household use. You are responsible for keeping your sign-in details secure and for everything done through your account.

2. The service and fees

LedgerMate helps you keep business records, create and email invoices and estimate tax. It is currently free of charge.

We may introduce fees, change fees, or move any feature to a paid plan. Before any fee applies to you, we will notify you by email or in the app, and we will only charge you if you agree to pay. If you do not wish to pay, you may stop using the paid feature or close your account and download your data.

3. Your data

Your business records belong to you. You give us permission to store and process them only so that we can provide LedgerMate to you, as described in our privacy policy. You can download your data at any time. Keep your own copies of records you are required to keep, such as the five years SARS generally requires.

Anonymised insights is off unless you switch it on in Settings. Only if you switch it on, we may include your records in anonymised, combined statistics that we share or sell. Your records are de-identified and combined with those of many other businesses first, so that no business or person can be identified, and the statistics never include personal information. You can switch it off at any time, and we will stop including your records in future statistics.

We will only introduce you to partners if you switch partner offers on in Settings. We do not sell your personal information.

4. Your customers’ information and the emails you send

When you add information about your customers or suppliers, you are the responsible party under POPIA and must have a lawful basis to process it. We are your operator for that information, and this section is our agreement under POPIA section 21. We will:

  • process it only to provide LedgerMate to you and on your instructions (including anonymised insights, if you switch them on), never for our own purposes;
  • keep it confidential and protect it with appropriate security measures (described on our security page), and require our own providers to do the same;
  • tell you without undue delay if we believe it has been accessed or acquired by someone unauthorised;
  • help you respond to requests from the people concerned, through the export and correction tools;
  • delete it when you delete your account, except where the law requires us to keep it.

When you email an invoice or quote through LedgerMate, it is sent on your behalf from a LedgerMate address, with replies going to you. You are responsible for its content and for sending it only to your own genuine customers about real work. Invoice emails must not be used for marketing, unsolicited messages or anything misleading.

5. Not financial or tax advice

LedgerMate organises your records and produces estimates. It is not a bank, a registered tax practitioner, an auditor or a financial services provider, and nothing in it is tax, legal or financial advice. Tax figures are estimates based on the information you enter and on our reading of the rules, and they can be wrong or out of date. LedgerMate does not submit returns or make payments to SARS. You remain responsible for your tax submissions, payments and deadlines, and for checking that your records and invoices are correct before you rely on them. For advice on your situation, consult a registered tax practitioner.

6. Acceptable use

Do not use LedgerMate to:

  • break the law, or issue false, inflated or fraudulent invoices or records;
  • pretend to be another business or person, including through your business name or email;
  • send spam, phishing or any message your customer did not expect from you;
  • upload information you have no right to use;
  • try to access other people’s data, test or bypass our security, or disrupt the service;
  • copy, resell or reverse-engineer LedgerMate, except as the law allows.

We may remove content, limit features or suspend an account that breaks these rules.

7. Our software

The LedgerMate software, design and brand belong to Nathan Mabasa. These terms let you use the service; they do not give you any rights to the software itself. Your business records stay yours.

8. Availability, other services and events beyond our control

We work to keep LedgerMate available and your data safe, but we cannot promise it will always be uninterrupted, error-free or secure from every attack. LedgerMate relies on other providers (for hosting, the database, sign-in and email delivery, listed in the privacy policy). We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at those providers, load-shedding, network failures or natural disasters. We may improve or change features. If we stop offering LedgerMate, we will give you at least 60 days’ notice to export your data.

9. Limits on our responsibility

To the extent the law allows, LedgerMate is provided free and “as is”. We are not liable for indirect or consequential loss, lost profits or income, penalties or interest charged by SARS, losses caused by information you entered or did not check, or losses caused by your use of LedgerMate against these terms.

Our total liability to you for all claims together is limited to the greater of R1 000 or the fees you paid us in the 12 months before the claim arose.

Nothing in these terms excludes or limits liability for our gross negligence, wilful misconduct or fraud, or any right you have under the Consumer Protection Act, 2008, or other law that cannot be excluded.

10. Your responsibility to us

You agree to indemnify us against claims, losses, fines and reasonable legal costs that arise because you broke these terms or the law, issued false or misleading invoices, emailed someone through LedgerMate without the right to do so, or processed personal information without a lawful basis. We will tell you promptly about any such claim and let you take part in dealing with it.

11. Ending your account

You may stop using LedgerMate and delete your account in Settings at any time. We may suspend or close accounts that break these terms, with notice where reasonable. After closure, we keep or delete data as set out in the privacy policy. Sections 5, 9, 10 and 16 continue to apply after your account ends.

12. Changes to these terms

We will tell you about material changes at least 30 days before they apply, by email or in the app. If you keep using LedgerMate after that, the new terms apply. If you do not agree, you may close your account before they apply.

13. Transfer

We may transfer this agreement to a company that takes over running LedgerMate (for example, when LedgerMate is incorporated). Your rights under these terms will stay the same, and we will tell you if this happens.

14. Notices and electronic communication

You agree that we may communicate with you electronically, by email or in the app, and that these communications and your acceptance of these terms online are valid as if in writing (Electronic Communications and Transactions Act, 2002). We record when you accepted these terms and which version. Send legal notices to us at hello@nathanmabasa.com.

15. General

These terms and the privacy policy are the whole agreement between us about LedgerMate. If any part is found unenforceable, the rest still applies. If we do not enforce a term straight away, we have not given up the right to enforce it later.

16. Law and disputes

These terms are governed by the laws of the Republic of South Africa. Please contact us first so we can try to resolve any concern. Otherwise, the South African courts have jurisdiction.
